Total Voting Rights

Voting Rights and Capital as at 31 May 2013.

This announcement is made in accordance with DTR 5.6.

As at 31 May 2013 Xchanging plc's issued share capital consisted of 240,510,919 ordinary shares of 5p each with voting rights.

Therefore the total number of voting rights in Xchanging plc is 240,510,919.

The above figure may be used by shareholders as the denominator for the calculation by which they will determine if they are required to notify their interest in, or a change to their interest in, Xchanging plc under the FCA's Disclosure and Transparency Rules.
