Total Voting Rights

SQN Asset Finance Income Fund Limited (the "Company") advises that as at 31 December 2016 its issued share capital comprises 357,707,507 Ordinary Shares and 180,000,000 C Shares. The total issued share capital with voting rights is 537,707,507. No shares are held in treasury.

The total number of voting rights of the Ordinary Shares is 357,707,507 and the total number of voting rights of the C Shares is 180,000,000. As such the total voting rights figure of 537,707,507 may be used by shareholders (and others with notification obligations) as the denominator for the calculations by which they will determine whether they are required to notify their interest in, or a change to their interest in, the Company under the FCA's Disclosure Guidance and Transparency Rules.
