Willi-Food International Ltd.(NASDAQ: WILC) (the "GWF Announcement"). Capitalised terms used but not definedherein shall have the meanings given to them in the Company's announcement of30 December, 2014. The Company holds 62.21% of the voting rights in Willi-Food Investment Ltd.,which in turn holds 59.97% of the voting rights in GWF. Further to the GWFAnnouncement, the Company announces that the management of GWF has decided notto proceed with the Proposed Transaction for the purchase by GWF of a stake inMendelson Infrastructures & Industries Ltd., from Netz, a company listed on theTASE. The Company also announces that GWF's board of directors has appointed Mr. GilHochboim as GWF's chief executive officer effective immediately. Mr. Hochboim,previously served as GWF's chief executive officer from February 2012 untilDecember 2014, as its deputy chief executive officer since December 2014 andnow replaces Mr. Emil Budilovsky, who has served as GWF's chief executiveofficer from December 2014 until today.
