Update regarding additional subscription

and

further issue of equity to settle investor relation fees

Rome Resources plc (AIM: RMR), the DRC-focused tin and copper explorer, provides the following update in respect of the Company's additional Subscription as announced on 27 April 2026 (the "Additional Subscription").

The Company previously announced that it expected 130,000,000 new Ordinary Shares to be admitted to trading on AIM on or around 5 May 2026. To date, the Company has received commitments in relation to 50,000,000 new Ordinary Shares (approximately £150k) pursuant to the Additional Subscription. The Company expects the outstanding balance to be received in due course following a successful resolution of banking delays relating to the outstanding subscribers.

Additional issue of equity

Separately, the Company announces the issue of 9,600,000 new Ordinary Shares as payment in lieu of approximately £28,800 in accrued professional investor relation fees.

Application has been made to the London Stock Exchange plc for the 139,600,000 new Ordinary Shares to be admitted to trading on AIM. It is currently anticipated that Admission will become effective and that dealings in the new Ordinary Shares will commence on AIM at 8.00 a.m. on or around 12 May 2026.

Upon Admission, Rome Resources issued ordinary share capital will comprise 7,676,625,932 Ordinary Shares. Upon Admission, this number will represent the total voting rights in the Company, and, following Admission may be used by shareholders as the denominator for the calculation by which they can determine if they are required to notify their interest in, or a change to their interest in, the Company under the Financial Conduct Authority's Disclosure Guidance and Transparency Rules.

Unless otherwise defined herein, the capitalised defined terms used in this announcement have the same meaning as those used in the Company's announcement on 27 April 2026.
