Thames Water Utilities Limited announcesresults of the Second Consent Requests

On 28 April 2025, Thames Water Utilities Limited ("TWUL") announced the launch of its Second Consent Requests. Details of the Second Consent Requests can be found in the announcement (the "Launch Announcement") here:

Terms used but not otherwise defined have the meanings given to them in the Launch Announcement and Second Consent Requests, as applicable.

Approval of the Second Consent Requests

TWUL announces today that the Second Consent Requests have been approved with creditors holding 94.58% of the Super Senior Issuer Secured Credit Participations actively voting in favour of the Second Consent Requests, and a total consent rate of 98.78% (including deemed consent).

Given the approvals above, TWUL and the Super Senior Issuer will proceed with the implementation of the amendments outlined in the Second Consent Requests and will now commence the drawing process for the second tranche of super senior funding, with funding being provided in the last few weeks of May.
