Result of Extraordinary General Meeting

The Company is pleased to announce that all resolutions proposed at the Company's Extraordinary General Meeting held today, 20 September 2016, to authorise the Company to undertake the Tender Offer for up to 10 per cent of the Shares in issue and to enter into an Amended and Restated Investment Management Agreement, were passed. The proxy votes received in advance of the meeting are shown below

Resolution 1 To authorise the Company to undertake the Tender Offer for up to 10 per cent. of the Shares in issue and to cancel those Shares repurchased.

For: 35,761,537 (100%)

Against: 0

Abstention: 0

Resolution 2 To approve the Company's Amended and Restated Investment Management Agreement.

For: 20,929,921 (77.0%)

Against: 6,257,608 (23.0%)

Abstention: 8,574,008*

* An abstention or withheld vote is not a vote in law and is not counted in the calculation of proportion of votes "For" or "Against" a resolution.

The latest time and date for receipt of Tender Forms from Qualifying Shareholders is 1.00 p.m. on 27 September 2016 and the result of the Tender Offer and the Tender Price are expected to be announced on 28 September 2016.
