Annual General Meeting 16 December 2021

At the AGM held on 16 December 2021 all resolutions were passed, including those detailed below:

· Shareholders approved by ordinary resolution the continuance of the Company until the AGM to be held in respect of the year to 31 August 2022, with 99.99% of those voting supporting the resolution;

· Shareholders approved an ordinary resolution renewing the Directors general authority to issue shares up to an aggregate nominal amount of £471,641.04 and a special resolution to allot a limited number of shares and to sell treasury shares for cash on a non-pre-emptive basis up to an aggregate nominal value of £471,641.04 being approximately 10% of the nominal value of the issued share capital of the Company as at 12 October 2021. These authorities will expire at the earlier of fifteen months from the passing of this resolution or at the conclusion of the 2022 AGM of the Company, unless previously varied, revoked or renewed.

· Shareholders approved a special resolution authorising the Company to renew its authority to make market purchases of up to 14.99 per cent of the Company's issued share capital as at 16 October 2021, being 14,139,798 ordinary shares of 5p. The authority will expire at the conclusion of the 2022 AGM of the Company, unless previously varied, revoked or renewed.
