ICAP plc (the Company) announces that at its Annual General Meeting held at

11.00 am today, all resolutions proposed at the Annual General Meeting, were passed on a show of hands with the requisite majorities.

Details of all the resolutions passed and proxy votes can be found on the investor relations pages of the website www.icap.com.

In accordance with Listing Rule 9.6.2, copies of resolutions passed at the 2015 Annual General Meeting that are required to be submitted to the UK Listing Authority via the National Storage Mechanism will shortly be available for inspection at http://www.hemscott.com/nsm.do.
