Hill & Smith Holdings PLC (the "Company") announces that all of the resolutions set out in the Notice of Meeting circulated to shareholders on 1 April 2011 were approved by shareholders on a show of hands at the Annual General Meeting of the Company, which was held earlier today. Details of the votes cast by proxy are available on the Company website (www.hsholdings.com).

In accordance with paragraph 9.6.2 of the Listing Rules, copies of the resolutions dealing with items of special business will be uploaded to the National Storage Mechanism and will be available for viewing shortly.
