Premier Asset Management PLC31 August 2007 Premier Asset Management PLC (the "Company" or "Premier Asset Management") Resignation and Additional Listing Further to the announcement by Harvard Bidco Limited on 28 August 2007 that theFinal Offer has been declared wholly unconditional, Premier Asset Managementannounces that Roger Wood, the chairman of the Company, and Andrew Watkins, anon-executive director of the Company, have today resigned from the board withimmediate effect. The Company also announces that 2,844,658 new ordinary Premier Asset Managementshares of 10p each (the "New Ordinary Shares") have today been issued andallotted upon the exercise of share options. Following the exercise of options, Mike O'Shea and Neil Macpherson, bothdirectors of Premier Asset Management, hold 1,544,703 and 375,787 ordinaryshares of 10p each in the Company, representing approximately 8.48% and 2.06% ofthe Company's issued share capital respectively. The Company has been notified that, following the exercise of options, MarkFriend has a beneficial interest in 571,036 ordinary shares of 10p each in theCompany, representing approximately 3.14% of the Company's issued share capital. Application has been made for the New Ordinary Shares to be admitted to tradingon AIM, a market of the London Stock Exchange. Following the admission totrading of the New Ordinary Shares, Premier Asset Management will have18,205,210 ordinary shares of 10p each in issue, excluding the 54,222 ordinaryshares held in Treasury.
