Posting of 2019 Annual Report and Notice of GM

 

Savannah Energy PLC, the British independent energy company focused around activities in Nigeria and Niger, confirms that the 2019 Annual Report and Accounts ("Annual Report"), and the notice of the General Meeting ("GM") to lay out the Annual Report to shareholders are now available on the Company's website: www.savannah-energy.com

 

The GM will be held at 10.30am on Monday, 21 September 2020 at 40 Bank Street, London, E14 5NR. Printed copies of the Annual Report and Notice of GM will be posted to shareholders in the next week. The GM will be run as a closed meeting, as a result of current government restrictions on gatherings and non-essential travel resulting from the COVID-19 pandemic, and shareholders will not be able to attend in person. Any shareholder or proxy seeking to attend the GM will be refused entry. Shareholders are therefore strongly encouraged to submit a proxy vote in advance of the Meeting and to appoint the Chairman of the Meeting as their proxy rather than a named person who will not be permitted to attend the GM. Details on how to submit your proxy vote are set out in the section of the Notice of GM headed "Voting Arrangements - Action to be taken".

 

As previously announced, due to COVID-19, the finalisation of the Company's Annual Report was delayed and it was not available in sufficient time to enable it to be laid at the Annual General Meeting ("AGM") held on 29 June 2020. The Company will now lay out the Annual Report in the GM on 21 September 2020 to its shareholders.

 

The GM will be live streamed on the internet, accessible via the Company's website on www.savannah-energy.com. Those wishing to watch the Meeting should register their interest by completing the form at www.savannah-energy.com/investors/GM before close of trading on 17 September 2020. Shareholders watching the Meeting via this facility will not be counted in the quorum for the Meeting and will not be able to participate in the Meeting, including by voting or asking questions, on the day.

 

The Board recognises the importance of the GM as an opportunity for shareholders to engage with the Directors and, accordingly, if you are a shareholder and you wish to submit a question in relation to the business of the GM, please send your question by completing the form at www.savannah-energy.com/investors/GM before close of trading on 17 September 2020; in the form please include your name and how you hold your shares. The Board will attempt to answer as many of these questions as possible during the Meeting.

 

The results of the GM will be announced shortly after its conclusion and published on the Company's website.
