Non-executive Directors' Share Purchase Plan

Eurocell, the market leading, vertically integrated UK manufacturer, distributor and recycler of innovative window, door and roofline PVC building products, announces that all current Non-executive Directors have entered into a share purchase plan ('NED Purchase Plan') on substantively the same terms as the plan previously announced on 3 February 2023. 

In accordance with the NED Purchase Plan, each Director has irrevocably instructed the Company to direct one quarter of their net monthly fees to an appointed broker to automatically make market purchases of ordinary shares in Eurocell for the account of the Director. The appointed broker will purchase ordinary shares from the market on commencement of the NED Purchase Plan and then on or around, the fifth business day of September, December, March and June of each plan year. The plan will continue until cancelled under its terms.

As a result of entering into the NED Purchase Plan, each Director will be committed to make the purchase of ordinary shares under the NED Purchase Plan in what otherwise may be a closed period. Entering into the NED Purchase Plan will not preclude the Director from buying additional ordinary shares in the Company during open periods.

The market will be notified of the share purchases under the NED Purchase Plan in accordance with regulatory requirements.
