LSR Group holds its AGM

LSR Group holds its Annual General Meeting of Shareholders

Today, on June 20, 2014 Annual General Meeting of Shareholders (hereinafter - the "AGM") of OJSC LSR Group (LSE: LSRG; MICEX-RTS: LSRG) (hereinafter - "LSR Group" or the "Company") was held.

The AGM approved the Annual report of OJSC LSR Group for 2013, prepared in accordance with FFMS requirements and annual financial statements 2013 (RAS) including income statements (profit and loss accounts). The Shareholders Meeting also elected the Board of Directors, consisting of 9 members (including 5 independent non-executive directors):

1. Dmitry Goncharov;

2. Yuri Kudimov;

3. Andrey Molchanov;

4. Yuri Osipov;

5. Olga Sheikina;

6. Sergey Skaterschikov;

7. Elena Tumanova;

8. Aleksandr Vakhmistrov;

9. Ilgiz Valitov.

The AGM decided to pay out dividends based on the results of 2013 financial year amounting to RUB 40.00 per ordinary share. Thus, the total amount of dividends is RUB 4,121,208,600 to be paid up to August 5, 2014.The AGM approved CJSC KPMG as auditor of the Company's IFRS-based consolidated financial statements for 2014, and CJSC Audit-Servis as auditor of financial statements based on the Russian Accounting Standards. 

Auditing committee of the Company was elected as follows:

1. Klevtsova, Natalia Sergeevna,

2. Terentiev, Yury Ivanovich,

3. Fradina, Ludmila Valerievna

 The AGM also approved the revised Regulations on the Board of Directors and a number of transactions.

The newly-elected Board of Directors of LSR Group appointed Chairman of the Board - Andrey Molchanov, and also elected the members of the Board committees as follows:

Audit Committee:

- Yuri Kudimov - Chairman.

- Yuri Osipov

- Elena Tumanova

Human Resources and Compensations Committee:

- Yuri Kudimov - Chairman.

- Yuri Osipov

- Elena Tumanova

Strategy and Investments Committee:

- Andrey Molchanov - Chairman.

- Yuri Osipov
