Offer for Subscription of Ordinary Shares

The Directors of Maven Income and Growth VCT 3 PLC confirm that, on 5 April 2012, the Company issued and allotted 424,000 Ordinary shares of 10 pence pursuant to the Offer, and as a result the number of Ordinary shares in issue is now 31,483,405. The Offer Price at which the shares were issued and allotted was 83.7p per Ordinary share.

The Offer for Subscription closed fully subscribed on 1 March 2012 and the shares to be issued in respect of the 2012/2013 tax year will be allotted on 18 April 2012.
