The notes were issued by Gaz Capital S.A., aLuxembourg special purpose vehicle, under Gazprom's Loan Participation NoteProgramme. The 2037 Notes were priced at par and have an annual coupon of 7.288%. ABN AMROBank N.V. and Morgan Stanley & Co. International plc acted as joint bookrunnerswith respect to the notes.
