Celtic Resources Holdings PLC26 July 2006 Celtic Resources Holdings plc ("Celtic Resources" or the "Company") Significant shareholding and dealings by director The Company was notified on 26 July 2006 by Aton International Limited that one of its custodian accounts, Starberry Limited, was the beneficial owner of 3,106,056 ordinary shares in Celtic Resources, which represents 6.66 per cent. of the total issued ordinary share capital of the Company. The Company has also been advised of the following sales of ordinary shares by anon-executive director of the Company. Mr McDermott sold 110,000 shares at £2.50on 20th July, 10,000 shares at £2.55 on 21st July, 15,000 shares at £2.52 on25th July and 32,500 at £2.52 on 26th July. Mr McDermott now holds 1,080,470ordinary shares being 2.32% of the total issued share capital of the Company. MrMcDermott also holds warrants over 542,735 shares exercisable at €1.625 pershare.
