Block Listing Application

Application has been made to The UK Listing Authority and The London Stock Exchange for block listings totalling 18,000,000 Ordinary shares of 12.5p each to trade on The London Stock Exchange and to be admitted to The Official List. The shares shall rank equally with the existing issued shares of the Company.

The block listings consist of:

·; 4,000,000 shares under the Henderson Group plc Long Term Incentive Plan;

·; 1,000,000 shares under the Henderson Group plc Restricted Share Plan;

·; 1,000,000 shares under the Henderson Buy As You Earn Plan;

·; 8,500,000 shares under the Henderson Group plc Company Share Option Plan;

·; 3,500,000 shares under the Henderson Group plc Sharesave Scheme
