Subject: Announce the board's approval of the Allocation of Earnings of year 2010.

2.Type and monetary amount of dividend distribution:

The earnings for year 2010 will be allocated as follows:

the dividend is NT8,123,536,932

the remuneration to directors is NT$5,400,000

 the employee bonus is NT$812,975

The dividend will be NT$0.6 per share in cash and NT$0.2 per share in stock.

After the company announces its dividend policy, based on Article 28-2 of the Securities Law, if we engage in secondary purchases, transfers, exchanges , cancellations of our shares, or issue new shares due to GDR or any other reasons,

all resulting in an increase or decrease in the total number of shares outstanding on the shares outstanding on the dividend record date, the current dividend policy and the dividend per share will be adjusted based on the total number of shares

outstanding on the ex-dividend date.
