Notification under paragraphs 3.1.2R to 3.1.4R of the Disclosure and Transparency Rules

Hill & Smith Holdings PLC ("Hill & Smith" or the "Company") announces that it was notified on 11 March 2009 that Mr J C Humphreys, being a person discharging managerial responsibilities of Hill & Smith, has purchased 2,000 ordinary shares in the Company at 147.0 pence per share.  These transactions were effected on 11 March 2009 on the London Stock Exchange.

Following this purchase, Mr Humphreys is beneficially interested in 7,000 ordinary shares in the Company and has options over 27,902 ordinary shares.
