15 June 2010 Personal Group Holdings Plc (the Company) DIRECTOR SHAREHOLDING

The Company has been informed today by Christopher Johnston, that on 11 June 2010 he transferred 105,000 ordinary shares of 5p each ("Ordinary Shares") representing 0.35% of the issued share capital of the Company, to his wife (K M Johnston). There was no consideration for this transaction.

Following this transaction there is no change in the beneficial holding of Mr Johnston who remains interested in 15,591,393 Ordinary Shares, representing 51.86% of the total Ordinary shares in issue. This transaction was undertaken for personal planning reasons.

The Company has also been informed today by Robert Pease that on 15 June 2010 he sold 3,655 ordinary shares of 5p each ("Ordinary Shares") representing 0.01% of the issued share capital of the Company at a price of 266.5p per share to Personal Group Trustees Limited (a company wholly owned by the Company which operates the Company's All Employee Share Ownership Plan (AESOP)).

Following this transaction Mr Pease is interested in 86,309 Ordinary Shares, representing 0.29% of the total shares in issue. This transaction was undertaken for personal planning reasons.
