NOTIFICATION OF INTEREST PURSUANT TO DTR 3.1.2 OF THE DISCLOSURE AND TRANSPARENCY RULES

On 22 May 2015, Capital & Regional plc (the Company) received notification that MStead Limited acquired 750,000 ordinary shares in the Company on 21 May 2015 at a price of 57.0p per share.

Following this Mstead Limited owns 51,608,107 shares representing 7.365% of the issued share capital of the Company.

Louis Norval has a beneficial interest in Mstead Limited. Following this transaction Louis Norval has a beneficial interest in ordinary shares in the Company of 201,573,237 shares.
