ATKINS SHARE INCENTIVE PLAN (the "Plan")

In accordance with Paragraph 3.1.2 of the Disclosure and Transparency Rules, WS Atkins plc (the "Company") was notified on 16 December 2011 that on 15 December 2011 the Trustees of the Plan purchased ordinary shares of 0.5 pence each in the Company at a price of £6.196577 per share on behalf of the directors and persons discharging managerial responsibilities, as set out below:
