ATKINS SHARE INCENTIVE PLAN ("the Plan")

In accordance with Paragraph 3.1.2 of the Disclosure and Transparency Rules, WS Atkins plc (the "Company") was notified on 17 December 2010 that on 15 December 2010 the Trustees of the Plan purchased ordinary shares of 0.5 pence each in the Company at a price of £7.202974 per share on behalf of the directors and persons discharging managerial responsibilities, as set out below:
