Director/PDMR Shareholding

This notification is made in accordance with DTR 3.1.4.

On 28 August 2014, Chirag Shah, a Person Discharging Managerial Responsibility ("PDMR"), received an award over 172,652 ordinary shares in the Company under the Xchanging plc 2007 Performance Share Plan.

No consideration was paid for the grant of the awards which are structured as options.

The vesting of an award is subject to the Company's performance in absolute total shareholder return and economic profit. The award will normally vest on the third anniversary of grant and if it is determined that the performance conditions have been met. PDMRs are required to hold the award for an additional six months after vesting.

The Company was informed of the above transactions on 28 August 2014.
