In accordance with Paragraph 3.1.2 of the Disclosure and Transparency Rules, WS Atkins plc (the "Company") was notified on 18 August 2015 that on 17 August 2015 in London the Trustees of the Plan purchased ordinary shares of 0.5 pence each in the Company at a price of £15.397509 per share on behalf of the directors and persons discharging managerial responsibilities, as set out below:
