Notification under paragraphs 3.1.2R to 3.1.4R of the Disclosure and Transparency Rules

Hill & Smith Holdings PLC ('Hill & Smith' or the 'Company') announces that it has today been notified that Mr Derek Muir, a person discharging managerial responsibilities of Hill & Smith:

- sold 2,115 ordinary shares in the Company at 693.00 pence per share.

- purchased 1,169 ordinary shares in the Company at 695.00 pence per share (562 to be held in his Individual Savings Account ('ISA') and 607 to be held in the ISA of Mrs Diane Muir).

These transactions were effected on the London Stock Exchange.

Following the above, Mr Muir is beneficially interested in 210,752 ordinary shares in the Company and holds LTIPs/Options over 266,038 Ordinary Shares in the Company.
