Hampson Industries PLC ("Hampson" or the "Company")

Directors' Dealings and Holdings

The following Hampson Directors have taken up new Ordinary Shares under the Open Offer:

(a) Kim Ward, the Chief Executive of Hampson, has taken up 13,389 new Ordinary Shares under his

Open Offer Entitlement at a cost of £18,075 at the Open Offer Price;

(b) Howard Kimberley, Finance Director of Hampson, has taken up 11,596 new Ordinary Shares

under his Open Offer Entitlement at a cost of £15,655 at the Open Offer Price;

(c) Jonathan Palmer, a non-executive Director of Hampson, has taken up 15,055 new Ordinary Shares

under his Open Offer Entitlement at a cost of £20,324 at the Open Offer Price; and

(d) Robert Stokell, a non-executive Director of Hampson, has taken up 8,777 new Ordinary Shares

under his Open Offer Entitlement at a cost of £11,849 at the Open Offer Price.

Following such dealings, the interests of the above Directors are as follows:

(a) Kim Ward is interested in a total of 66,949 Ordinary Shares, representing 0.04 per cent. of the

issued share capital of the Company;

(b) Howard Kimberley is interested in a total of 57,981 Ordinary Shares, representing 0.04 per cent. of

the issued share capital of the Company;

(c) Jonathan Palmer is interested in a total of 75,275 Ordinary Shares, representing 0.05 per cent. of the

issued share capital of the Company; and

(d) Robert Stokell is interested in a total of 43,887 Ordinary Shares, representing 0.03 per cent. of the

issued share capital of the Company.

The percentage holdings notified above are based on the number of shares in issue assuming Admission of the Consideration shares becomes effective.

Notification of the above transactions is made in accordance with DTR 3.1.4R(1)(a).
