Director/PDMR Shareholding

NOTIFICATION OF TRANSACTIONS OF DIRECTORS, PERSONS DISCHARGING MANAGERIAL RESPONSIBILITY OR CONNECTED PERSONS

Mr. Martin Grant, a person discharging managerial responsibility ("PDMR") of WS Atkins plc, (the "Company"), notified the Company on 29 September 2011, that on that day in London he purchased 1,000 ordinary shares of 0.5 pence each in the Company at a price of £5.40 per share. The shares are held by Mr. Grant directly. The acquisition of 1,000 shares equated to 0.001% of the voting issued share capital.

Mr. Grant's' total interest in shares is 31,602 ordinary shares, representing 0.032% of the voting issued share capital of the Company This include 6,453 shares held in an ISA which were acquired prior to him being appointed a PDMR, and were omitted from previous announcements in error.

This notice is given in fulfillment of the obligations under DTR 3.1.4R (1).
