HILL & SMITH HOLDINGS PLC 

Notification under paragraphs 3.1.2R to 3.1.4R of the Disclosure and Transparency Rules

Hill & Smith Holdings PLC ("Hill & Smith" or the "Company") announces that, at a meeting of the board held on 15 October 2008, the following persons discharging managerial responsibilities within the Company were granted options over Hill & Smith ordinary shares under its 2005 Sharesave Scheme:

Mr M Pegler, Group Finance Director 3,902 options

Mr J C Humphreys, Company Secretary 3,902 options

All of the options granted have an option exercise price of 246 pence per share and the earliest exercise date is 1 December 2011.

Following the grant of these options, Mr Pegler is beneficially interested in 4,000 Hill & Smith ordinary shares and has options over 64,416 ordinary shares. Mr Humphreys has no beneficial interest in Hill & Smith ordinary shares and has options over 27,902 ordinary shares.
