CODASciSys PLC08 November 2005 CODASCISYS PLC ("the Company) Directors' Shareholdings On 7 November 2005, under the terms of the Company's Executive Share OwnershipPlan ("the Share Plan"), the following Directors acquired a limited beneficialinterest in ordinary shares in the Company ("Ordinary Shares"): Director Number of Ordinary Shares Graham Steinsberg 650,000 Jeremy Roche 500,000 Bryan Hucker 200,000 Mike Love 22,500 The Share Plan enables the Directors to benefit only from the future growth inthe value of the Ordinary Shares above the current market value of the shares(422.5p) and they may not normally realise any such benefit before 1 September2007. The Directors have also surrendered all their outstanding unapproved shareoptions. In all cases, the options being surrendered have an average cost whichis lower than 422.5p. The number of options they have each surrendered is shownbelow.
