Notification under paragraphs 3.1.2R to 3.1.4R of the Disclosure and Transparency Rules.

Hill & Smith Holdings PLC ("Hill & Smith" or the "Company") announces that it has been notified of the following share purchases by persons discharging managerial responsibilities of Hill & Smith:

- D W Muir; purchased a total of 15,343 ordinary shares at a price of 278.82 pence per share ( 11,325 being purchased in the name of Mrs Diane Muir and 4018 in the name of Mr D W Muir ). This transaction was effected on 8 August 2011 on PLUS markets.

- W H Whiteley; purchased in the name of W H and G M Whiteley 10,750 ordinary shares at a price of 281.50 pence per share. This transaction was effected on 8 August 2011 on the London Stock Exchange.

As a result of these purchases the individuals named above now have the following beneficial interests in the ordinary shares of the Company:

- D W Muir; a total of 116,328 ordinary shares and options/awards over 414,616 ordinary shares.

- W H Whiteley; a total of 22,100 ordinary shares.
