ATKINS SHARE INCENTIVE PLAN ("the Plan")
In accordance with Paragraph 3.1.2 of the Disclosure and Transparency Rules, WS Atkins plc (the "Company") was notified on 16 February 2011 that on 15 February 2011 the Trustee of the Plan purchased ordinary shares of 0.5 pence each in the Company at a price of £6.90 per share on behalf of the directors and persons discharging managerial responsibilities, as set out below:
