NOTIFICATION OF INTEREST PURSUANT TO DTR 3.1.2 OF THE DISCLOSURE AND TRANSPARENCY RULES

On 30 April 2015, Capital & Regional plc (the Company) received notification that MStead Limited acquired 400,000 ordinary shares in the Company on 29 April 2015 at a price of 56.2p.

Following this MStead Limited owns 46,658,107 shares representing 6.658% of the issued share capital of the Company.

Louis Norval has a beneficial interest in MStead Limited. Following this transaction Louis Norval has a beneficial interest in ordinary shares in the Company of 197,048,099 shares representing 28.119% of the issued share capital.
