This notification is made in accordance with DTR 3.1.4.
On 4 April 2012, the following awards over ordinary shares in the Company were made under the Xchanging plc 2007 Performance Share Plan (the "Plan") to Persons Discharging Managerial Responsibility ("PDMRs"):

No consideration was paid for the grant of the awards which are structured as conditional awards.
The vesting of an award is subject to the satisfaction of performance conditions set by the Remuneration Committee of the Company. The award will normally vest on the later of the third anniversary of grant and the determination of the performance conditions.
The Company was informed of the above transactions on 4 April 2012.
