Director/PDMR shareholding

Melrose Resources plc (LSE:MRS) announces that on 6 January 2009 it received notification from Appleby Trust (Jersey) Limited (the 'Trustee') in its capacity as trustee of the Melrose Resources plc Employee Benefit Trust (the 'Trust') that on 5 January 2009 the Trustee purchased 5,541 ordinary shares of 10 pence each in the Company at a price of 190 pence per share. The entire holding of the Trust in the share capital of the Company is now 331,021 ordinary shares equating to 0.30% of the current issued share capital of the Company.

The Trust was established to facilitate the operation of the Melrose Resources plc Performance Share Plan (the 'Plan') and it is intended that the shares purchased by the Trust will be used to satisfy awards under the Plan.

In accordance with DTR 3.1.4 of the FSA's Disclosure and Transparency Rules, the Executive Directors and Persons Discharging Managerial Responsibilities ("PDMRs") of the Company have an interest in the shares acquired by the Trustee as they are potential beneficiaries of the Trust.
