Notification of Transaction by a Person Discharging Managerial Responsibility ("PDMR")

Henry Boot PLC ('the Company') has been advised by Mr John Trevor Sutcliffe, Group Finance Director of Henry Boot PLC and a PDMR of the Company, that on 8 January 2013, he completed the sale and repurchase of 7615 Ordinary Shares of 10 pence each in the share capital of the Company, and Mrs Adele Lyn Sutcliffe completed the sale and repurchase of 7615 Ordinary Shares of 10 pence each in the share capital of the Company, both transactions at a sale price of 145.5 pence per share and a purchase price of 146 pence per share, in order to effect the transfer of these shares into their Individual Savings Accounts (ISA).

Accordingly, the total beneficial interest remains unaltered, being 327,561 Ordinary Shares representing 0.250% of the Company.
