ATKINS SHARE INCENTIVE PLAN (the "Plan")

In accordance with Paragraph 3.1.2 of the Disclosure and Transparency Rules, WS Atkins plc (the "Company") was notified on 16 January 2015 that on 15 January 2015 the Trustees of the Plan purchased ordinary shares of 0.5 pence each in the Company at a price of £13.013324 per share on behalf of the directors and persons discharging managerial responsibilities, as set out below:
