Waterman Group plc (“the Company”)

The Company was informed today that Mr Simon D. Harden, a director of the Company, exercised 25,000 conditional bonus awards in the form of ordinary shares of 10p each ("Ordinary Shares") in the Company on 3 December 2012. This award was granted on 10 December 2008. Following the exercise of this award Mr Harden sold 10,307 Ordinary Shares at 42.2p per share in order to settle the associated PAYE/NI liability.

Following these transactions, Mr Harden's beneficial interest in the Company has increased to 44,464 Ordinary Shares representing 0.1% of the issued ordinary share capital of the Company.
