Director/PDMR Shareholding

The Board of PROACTIS, the specialist Spend Control software provider, has been informed that, on Friday 30th January 2009, Rodney Potts, a Non-Executive Director, purchased 7,567,830 ordinary shares of 10 pence each ("Ordinary Shares") at a price of 10.5 pence from a third party in which he had a beneficial interest.

As a result Rodney Potts' ultimate beneficial holding remains unchanged at 7,567,830 Ordinary Shares, representing approximately 24.6 per cent. of the Company's issued share capital.
