Notification under paragraphs 3.1.2R to 3.1.4R of the Disclosure and Transparency Rules

Hill & Smith Holdings PLC ("Hill & Smith" or the "Company") announces that it was notified on 7 May 2010 that Mr C J Snowdon, a person discharging managerial responsibilities of Hill & Smith, has purchased 2,930 ordinary shares in the Company at 348.09 pence per share. This transaction was effected on 7 May 2010 on PLUS Markets.

Following this purchase, Mr Snowdon is beneficially interested in 27,930 ordinary shares in the Company.
