ATKINS SHARE INCENTIVE PLAN (the "Plan")

In accordance with Paragraph 3.1.2 of the Disclosure and Transparency Rules, WS Atkins plc (the "Company") was notified on 15 June 2016 that on the same day in London the Trustees of the Plan purchased ordinary shares of 0.5 pence each in the Company at a price of £12.028228 per share on behalf of the directors and persons discharging managerial responsibilities, as set out below:
