Breedon announces that Mr David Warr, a non-executive director of the Company, has today informed the Company that he has transferred 5,555,556 ordinary shares of no par value in the Company ("Ordinary Shares") to Nightwatch Limited, a company of which he is the sole owner and beneficiary.

The transfer has no effect on Mr Warr's total beneficial shareholding which remains unchanged and he continues to hold 5,555,556 Ordinary Shares, representing 0.48 per cent. of the issued share capital of the Company

As at the date of this announcement, Breedon has an issued share capital of 1,149,390,728 ordinary shares of no par value with voting rights. Breedon does not hold any ordinary shares in treasury.

The above figure (1,149,390,728) may be used by shareholders as the denominator for calculations by which they determine if they are required to notify their interest in, or a change to their interest in, Breedon under the FSA's Disclosure and Transparency Rules.
