Circassia Pharmaceuticals plc ("Circassia" or "the Company") hereby provides notification that it was informed on 7 May 2015 that earlier that day Charles Swingland, 62, a Non-Executive Director of the Company transferred 265,450 ordinary shares in the Company to his Self-Invested Pension Plan ("SIPP"). The ordinary shares were sold by Mr Swingland at a price of 301.375p each to his SIPP trustees Tower Pension Trustees Limited.

Following these transactions Mr Swingland's beneficial interest remains unchanged at 5,186,302 ordinary shares representing 2.77% of the issued share capital and Total Voting Rights of the Company.
