In accordance with Paragraph 3.1.2 of the Disclosure and Transparency Rules, WS Atkins plc (the "Company") was notified on 16 August 2012 that on 15 August 2012 the Trustees of the Plan purchased ordinary shares of 0.5 pence each in the Company at a price of £6.75 per share on behalf of the directors and persons discharging managerial responsibilities, as set out below:
