Hill & Smith Hldgs PLC27 June 2007 Notification under paragraphs 3.1.2R to 3.1.4R of the Disclosure and Transparency Rules Hill & Smith Holdings PLC ("Hill & Smith" or the "Company") announces that it has today received notification that on 26 June 2007, Mrs M Burr (the wife of Mr C J Burr, a person discharging managerial responsibilities of Hill & Smith) transferred to Mr C J Burr, in an off-market transaction for nil consideration, 136,628 ordinary shares in the Company. Following this transfer, there is no change to Mr C J Burr's beneficial interestof 137,628 ordinary shares in the Company.
