NOTIFICATION OF INTEREST PURSUANT TO DTR 5 AND DTR 3.1.2 OF THE DISCLOSURE AND TRANSPARENCY RULES

On 7 May 2015, Capital & Regional plc (the Company) received notification that MStead Limited acquired 3,500,000 ordinary shares in the Company on 6 May 2015 at a price of 56.5p.

Following this Mstead Limited owns 50,658,107 shares representing 7.229% of the issued share capital of the Company.

Louis Norval has a beneficial interest in Mstead Limited. Following this transaction Louis Norval has a beneficial interest in ordinary shares in the Company of 201,048,099 shares representing 28.690% of the issued share capital.
