Notification of transactions by PDMR and Connected Persons

On 10 March 2016 certain purchases and awards of ordinary shares of 5 pence each in the capital of Oxford Instruments plc (the "Company") were made under the all-employee Oxford Instruments Share Incentive Plan (the "SIP") including by and to the following Executive Directors (PDMR) and Connected Person as follows:

Claire Flint is a Connected Person to Jonathan Flint by way of marriage.

The Partnership Shares and Matching Shares were acquired at a cost of £6.9925 each. The Matching Shares are subject to a risk of forfeiture which will normally be removed on the third anniversary of award subject to the participant's continued employment and the retention of the linked Partnership Shares. No consideration was paid by the participants for the award of the Matching Shares and no consideration is due on the release of the Matching Shares or in relation to Partnership Shares.

The above transactions were undertaken on behalf of the above individuals by the trustee of the SIP and the shares were purchased on the London Stock Exchange.

The above notifications are made in accordance with Rule 3.1.4 of the UKLA Disclosure Rules and Transparency Rules.

Oxford Instruments plc was notified of the above transactions on 14 March 2016.
