Director's Dealings and Total Voting Rights

Rotala has been notified of the following Director's Dealing which occurred on 13 January 2016:

Geoffrey Flight, a non-executive director of the Company, has exercised his option to acquire 80,000 ordinary shares of 25 pence each at a price of 37.50 pence per share. These shares will be issued out of those held in treasury. Following this option exercise Geoffrey Flight has a beneficial interest in the Company of 1,180,000 shares, which represents a holding of 3.09% of the shares in issue.

Application has been made to the London Stock Exchange for the new ordinary shares to be admitted to trading on AIM and it is expected that admission will take place on 20 January 2016. Upon Admission, the shares will rank pari passu in all respects with the existing ordinary shares of the Company.

As a result of the above dealing, the total number of ordinary shares held in treasury is 968,831 and the number of remaining ordinary shares in issue is 38,206,172, which is the number which may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interests in, the Company under the FCA's Disclosure and Transparency Rules.
