Mr. Philip Holden and Mr. Andrew Brannon, the trustees of the Charles Taylor Consulting Group Share Trust 2005("the Trust"), has received the following ordinary shares in Charles Taylor Consulting plc.

All employees of Charles Taylor Consulting group apart from the Trustees are eligible beneficiaries, including Messrs: JSM Rowe, JS Matthews, AJ Groom, JG Roach III, RTC Wong, MC Dean, JS McKay. GW Fitzsimons and TD Ely ("the executive directors") as potential beneficiaries under the Trust. The Trust is a discretionary trust for the benefit of such employees (including the executive directors) of Charles Taylor Consulting plc and its subsidiaries as the trustee may decide to benefit. It is currently not the Trustees intention to make any awards to the executive directors, no awards have so far been made by the Trustees.
