ATKINS SHARE INCENTIVE PLAN (the "Plan")

In accordance with Paragraph 3.1.2 of the Disclosure and Transparency Rules, WS Atkins plc (the "Company") was notified on 17 March 2015 that on 16 March 2015 in London the Trustees of the Plan purchased ordinary shares of 0.5 pence each in the Company at a price of £13.056823 per share on behalf of the directors and persons discharging managerial responsibilities, as set out below:
